Terms of Purchase
1. Definitions
  • “Seller,” “we,” “us,” or “our” refers to California Pergola Systems LLC, License No. 1141430, with address 16142 Moonglow Ln, Huntington Beach, CA 92647.
  • “Buyer,” “you,” or “your” refers to the individual or entity purchasing goods and/or services under these Terms.


  • “Products” refers to the aluminum pergolas (e.g. louvered, retractable, solid insulated roofs) and accessories (e.g. lights, heaters, screens) provided by Seller.
  • “Services” refers to engineering, permitting, fabrication, and installation services provided by Seller.

2. Order Acceptance
  • Orders are not binding until accepted in writing by the Seller (via email, signed proposal, or documented confirmation).
  • Seller reserves the right to refuse or cancel any order, including those from repeat customers, for any lawful reason.

3. Pricing and Payment
  • Prices are as quoted in your proposal and remain valid for 30 days unless otherwise specified.
  • A deposit of 30% is required upon acceptance. The remaining 70% is due upon completion of installation or as otherwise agreed in writing.
  • Payment may be made via check, ACH, credit card, or other methods accepted by Seller.

4. Permits and Approvals
  • Seller will provide engineering, and permitting services (“turnkey solution”) as part of the agreed scope.
  • If permit authorities require modifications, Buyer may incur additional charges. Buyer is responsible for any local fees or changes not included in the initial quote.

5. Delivery & Installation
  • Seller will coordinate fabrication and installation, aiming for a one-day installation wherever practical.
  • Buyer must ensure unobstructed access to the site and secure necessary utility access before installation.
  • Delays caused by Buyer (e.g. site unpreparedness, missing permits) may lead to rescheduling and additional charges.

6. Warranty
  • Structural and powder-coat warranty: 15 years
  • Electronics warranty: 5 years
  • This warranty does not cover damage caused by misuse, unauthorized alterations, acts of nature (e.g., hurricane-strength winds), or lack of maintenance.

7. Returns and Cancellations
  • Custom-designed products are non-returnable once production has started.
  • Cancellations must be submitted in writing. If requested after fabrication begins, Buyer forfeits the deposit.
  • If installation has taken place, Buyer is responsible for paying for all completed work and materials.

8. Title and Risk of Loss
  • Title and risk of loss pass to Buyer upon completion of installation at the site, unless otherwise agreed.

9. Limitation of Liability
  • Seller’s liability is limited to the purchase price of the Products or Services.
  • Seller is not liable for indirect, incidental, or consequential damages, including loss of use or profits.

10. Governing Law & Dispute Resolution
  • These Terms are governed by the laws of the State of California.
  • All disputes must be submitted to binding arbitration in Orange County, CA under the rules of the American Arbitration Association (AAA).

11. Force Majeure
  • Seller is not liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, supply-chain disruptions, strikes, or changes in law.

12. Confidentiality
  • All proprietary designs, pricing, and proposals remain confidential and may not be shared by either party without written consent.

13. Entire Agreement
  • These Terms, along with the Proposal, Invoice, or Quotation, constitute the entire agreement between Buyer and Seller, superseding all prior discussions or documents.
